Membership Agreement


MEMBERSHIP AGREEMENT

 

Lewis University (the “University”), through the Lewis Innovation Hub (the “Hub”), provides members with flexible month to month membership options. This is not leased space, so the terms lease, tenant, or landlord are not applicable. All membership options are month to month and can be terminated by either the Hub or the undersigned member (the “Member”) in accordance with the Paragraph 12 of this Membership Agreement (the “Agreement”).

 

The services the Hub shall provide to the Member shall include, but not be limited to, building access, use of co-working space, access to internet, and other services listed below (the “Services”) and are subject to this Agreement. Members shall abide by the Agreement, as well as other terms as outlined in the Hub Member Handbook and determined by Hub staff, which will be communicated verbally, by email, or written notice. The Hub staff reserves the right to add, delete, or amend the Agreement at our reasonable discretion without notice to the Member.  Members continued use (“membership”) of Hub facilities and Services following any changes to the Agreement constitutes the Member’s acceptance of such new term(s).

 

01:  THE HUB

 

The Hub offers a comfortable, professional place to connect, collaborate and be productive. Membership into the Hub allows individuals to work close to home without the distractions and isolations of working at home. The Hub’s space and Services allow ideas to flourish, a platform to generate fresh perspectives and a supportive environment to help elevate business goals through a community of entrepreneurs, business professionals, faculty experts and student body.

 

02:  THE BASICS

 

The University agrees to provide the Member with access to clean, well-maintained equipment and co-working facilities, lounge area, reasonable power, wireless internet, and a range of related services at the Hub, as detailed in the Membership Details in Paragraph 16 of this Agreement.

 

03:  BEST PRACTICES

 

The Hub is a shared, collaborative, and open workspace. In order for the space to be a place for productivity and members to peacefully co-exist, there are some best practices that the Member shall abide by:

 

Be friendly and introduce yourself to others. You may find some like-minded entrepreneurs and others that share the same passion to excel their business. They can be great resources to bounce ideas off and share their tried and true methods. At the same time also be mindful of others time and use of resources.  

 

Be considerate and respectful to others. When you are finished using something, put it back the way you found it. Push chairs back in, clean off workspaces, and erase whiteboards. Always keep in mind you are sharing the space with others.

 

Phone calls in the open space are fine, just be considerate of those around you and your volume. If you need privacy or tend to be a loud talker, use the conference room or take a walk outside to conduct the conversation. On the flip side, if you tend to be easily disturbed by background noise, the use of headphones is highly encouraged. Speakerphone use is highly discouraged in any open spaces.

 

04: HOUSEKEEPING

 

Zero Tolerance Policy. The Hub is dedicated to providing an inclusive and harassment-free experience for everyone regardless of race, color, religion, sex, pregnancy, sexual orientation, age, gender identity, marital status, national origin, veteran status, genetic information or disability. We do not tolerate harassment at our events or within our space in any form and the Member agrees to abide by the Hub’s Zero Tolerance Policy.

 

Sanctified Zone. The University campus has been declared a Sanctified Zone and as such actively promotes diversity and the opposition to all forms of prejudice and bias. The Hub is committed to providing a place that encourages diversity and respects the dignity of each person. The Member and all of its representatives and guests shall abide by the Discriminatory Harassment and Sexual Misconduct Policies of the University and Sanctified Zone guidelines which are available online and in the Hub Member Handbook.

 

Use of Information Technology Services. Use of the network managed by the University signifies the Member’s acceptance of and agreement to abide by the usage policies and procedures of the Lewis University Information Services Acceptable Use Policy. The Member shall refer to the Hub Member Handbook for details on acceptable and unacceptable use of these information technology services.

 

Non-Disclosure. During the Member’s presence at the Hub, the Member may learn of confidential information of the University or of its members. Such confidential information includes business information, trade secrets, technology, processes, customers, and prospects that are intended to be confidential and proprietary (“Confidential Information”). By signing this Agreement, the Member hereby agrees and consents not to disclose, copy or acquire any Confidential Information.

 

Use of Space. Members may not use the Hub space for lodging or overnight occupancy. Additionally, the Hub space is not to be used to conduct in- person retail, medical, or other business exchanges directly from the Hub to members of the public.

 

Guests. The Member may be permitted to bring up to three guests into the semi-private conference space located within the Hub between the hours of 9 am to 7pm Monday-Sunday. The Hub conference room is accessible by keyed entry for Business and Priority Flyer memberships only.

 

Prohibited items. Firearms, intoxicating and illegal drugs (including cannabis), drug paraphernalia, explosives, fireworks, flammable, radioactive, or potentially contagious/hazardous materials will not be permitted into the Hub and the Member shall not bring such items into the Hub. The Hub reserves the right to limit any materials they deem inappropriate for the space and safety of staff and other members. 

 

Custodial Service and Facility Maintenance. Regular maintenance and janitorial service is provided in the Hub office space and common areas from a third-party provider. The Hub will be cleaned regularly which include sanitizing, emptying of common garbage and recycle receptacles, dusting and vacuuming. Any property maintenance resulting from damage, misuse, or mistreatment by the Member and/or their guests will be billed to the Member.

 

No Use of Name. The Member shall not use the name of the University or the Hub in any form of advertising, publicity or otherwise, any logo, trade-name, personal name, trademark, trade device, service mark, symbol, or any abbreviation, contraction or simulation thereof owned by the University, or public promotion without the prior written approval of the University, or represent, either directly or indirectly, that any product or service of the University or Hub is a product or service of the Member or that that implies that the University has made any endorsement of certificate of the Member’s business activities or ventures.

 

05:  PARKING

 

Free unassigned parking is provided near the Hub for the Member and guests on a first come first served basis. Parking permits may be included with membership benefits or purchased separately. Parking permits allow members to park their vehicle in lots located around the St. Charles Borromeo North Campus Building (Lots SB1 & SB3). Free parking is permitted in visitor public parking areas located on campus (refer to campus map for visitor designated lots).

 

06:  SPACE ACCESS

 

Access to shared co-working space inside the Hub (aka Innovation Lounge) is available to the Member during normal business hours of 9:00am to 5:00pm, Monday through Sunday, excluding University holidays.

 

Key cards are issued based on membership level for members to gain access to the secured office space area within the Hub that houses assigned dedicated workstations. If the Member is to be issued a key card, the Member must complete a background check prior to receiving the key card and will have access to the Hub 24 hours a day, 7 days a week through the duration of the Agreement. Key cards will remain the Hub’s property and the Member will be liable for the replacement fees if such items become lost, stolen or damaged.

 

07: MEETING SPACE

 

The Member may be entitled to a number of meeting room hours per month as specified in the Membership Details in Paragraph 16 of this Agreement. Conference room hours are only valid for the month in which they are allocated based on membership level. No roll-overs or pre-usage of future hours are allowed. Reservations for conference room meeting space is scheduled on a first come, first served basis. Additional time can be purchased at a predetermined hourly rate. The Member may reserve other meeting spaces outside the Hub facilities within the University at a discounted rate (with submitted and approved rental agreement). Refer to membership level for any discounts that may apply and/or billable rates for hourly usage.

 

08: INTERNET ACCESS

 

The Member shall receive reasonable access to high speed Wi-Fi internet service through a designated user portal. If the Member accesses the Internet using the Hub portal, the Member agrees to the Hub’s current terms of service and acceptable use policy as outlined in the Hub Member Handbook.

 

 

 

09: SHARED SPACE

 

The co-working space within the Hub Innovation Lounge is considered shared space and can be used by all members. Shared spaces are to be used by Hub members and guests on a temporary basis, meaning that a Member is not permitted to reserve desks or work areas. The Member shall not leave personal and work items in the shared space overnight, and all work areas used by the Members shall be cleaned and items removed when finished working.

 

Furnishings in the shared space are the sole property of the Hub and may not be removed from the Hub. Any damage to Hub furnishings by the Member or their guest is the sole responsibility of the Member and the Member is liable for the full replacement cost.

 

10: OTHER SERVICES

 

The Member may receive additional Services dependent on membership level commitment as outlined in the Membership Details in Paragraph 16 of this Agreement. Designation of membership level indicates the Services that are subject to the terms of this Agreement.

 

Workstation Furnishings. The Hub provides access to a dedicated workstation(s) equipped with computer monitor, desk chair, filing cabinet/stool and locked locker storage for specific membership levels. Members are encouraged to bring furnishings and belongings into their reserved dedicated workspace only. The Hub is not responsible in any way for Member furnishings or belongings. Any damage to Hub furnishings or equipment by the Member or Member guest are the sole responsibility of the Member and the Member will be liable for the full replacement cost.

 

Mail and Small Package Receiving. The Hub will accept mail and small package deliveries on behalf of the Member or Member Organization with a dedicated workstation and place them in the reserved space. All mail or packages of any kind received for non-members, terminated members, or expired members will be returned to sender. Refer to the Hub Member Handbook for further details on mail handling and mailing address for correspondence.

 

11: MEMBERSHIP FEES

 

Hub memberships are available in several tiered levels. Prices for a variety of Hub resources are determined based on membership level selected in the amount indicated in the Membership Details in Paragraph 16 of this Agreement. This Agreement will become effective only upon (a) execution of this Agreement,  (b) payment of the associated security deposit (for memberships with a dedicated workstation only, the “Security Deposit”), and (c) payment of first month’s membership fee, unless the Member and the University mutually agree in writing on another date on which membership shall commence (“Effective Date”).

 

The University may deduct from the Security Deposit any costs resulting from the Member’s failure to comply with any of the terms of this Agreement. The Security Deposit may not be used by the Member to cover monthly dues without the written consent of the University.

 

Monthly payment is handled via credit card using the ACH payment system. Payment occurs on the membership start date and then recurs automatically on the first of the month until membership is canceled. 

 

If the Member starts its membership on another day than the 1st of the month, the charge will be prorated. Any other charges will be invoiced to the Member directly for payment. Failure to pay overdue invoices within 10 days of the due date will result in termination of the membership and access to use the Hub facilities and Services in any manner.

 

12: TERM AND TERMINATION

 

This Agreement shall continue in full force and effect, indefinitely with payments on a month-to-month basis, unless the Member or the University terminates this Agreement in accordance with this Paragraph 12.

 

The University reserves the right to terminate any membership at any time without notice to the Member and without a refund.

 

Failure to follow any of the guidelines outlined in this Agreement and the Hub Member Handbook can result in termination of membership.

 

A 30-day notice is required for cancellation of the Agreement by the Member. Notice of cancellation must be in written form via an email to hub@lewisu.edu.  The Member is responsible for removal of personal property and their guests’ property from the Hub. Any property remaining in or on the Hub office space after the termination of this Agreement will be disposed of. The Hub will not store such property and the Member waives any claims or demands regarding such property or handling of such property. The Member will be responsible to pay any fees reasonably incurred by the Hub regarding such removal.

 

13: INDEMNIFICATION

 

The Member and its parent companies/entities, subsidiary companies/entities, affiliate companies/entities, directors, trustees, officers, employees, servants, volunteers, and agents (collectively, the “Member Group”), shall hold harmless, defend, and indemnify the University, and its parent companies/entities, subsidiary companies/entities, affiliate companies/entities, directors, trustees, officers, employees, servants, volunteers, and agents (collectively, the “University Group”) from and against all actions, causes of action, lawsuits, obligations, liabilities, losses, penalties, fines, costs, including damages for personal injury, including sickness, disease, death, property damage, economic losses, or a violation of law, and expenses, including reasonable attorneys’ fees, all legal expenses, and fees incurred on appeal and interest thereon, accruing or resulting to any and all persons, firms, or any other legal entity as a result of or arising from the use of the Hub or University premises by the Member Group, and any negligent, intentional, criminal, and/or reckless actions or failure to act by the Member Group, which the University Group may incur, be exposed to, become responsible for, or payout.  The Member Group shall assume the investigation, defense, and expense of all such claims and causes of action.  Any and all costs, expenses, damages, and losses incurred in connection with this Paragraph shall be due and payable by the Member within fifteen (15) days of written demand thereof by the University.

 

14: INSURANCE

 

The insurance required is in addition to and separate from other obligations contained in this Agreement.  Throughout the term of this Agreement, the Member  shall purchase and maintain comprehensive general liability coverage for the Member Group with limits of not less than $1,000,000 per occurrence and $3,000,000 annual aggregate, adding the University as an additional insured for any and all claims arising out of, or in association with, this Agreement; and the policy will be considered primary insurance and any other coverage shall be excess.

 

15: LEGAL DISCLOSURES

 

Information Security. The Hub will make its best effort to protect all confidential information regarding the Member. The Hub may disclose information about the Member as necessary to satisfy any applicable law, regulation, legal process or government request. 

 

Our Reserved Rights. The Hub is entitled to access the office space and co-working space, with or without notice, for maintenance, safety, emergency purposes, or for tours of the facility for interested parties. The Hub reserves the right to move or alter office space as needed for repairs or upgrades to the space. The Hub staff will make its best effort to notify the Member prior to any maintenance work.

 

Disclaimer. THE UNIVERSITY HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF NON-INFRINGEMENT AND ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AS WELL AS IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. IN NO EVENT SHALL THE UNIVERSITY GROUP BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES, COSTS, EXPENSES, OR LOSSES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS), WHETHER OR NOT THE MEMBER HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. TH MEMBER AGREES THAT THE UNIVERSITY GROUP SHALL NOT BE LIABLE TO THE MEMBER FOR ANY ACTIONS, DAMAGES, CLAIMS, LIABILITIES, COSTS, EXPENSES, OR LOSSES IN ANY WAY ARISING OUT OF OR RELATING TO THE PERFORMANCE AND OR NONPERFORMANCE OF THIS AGREEMENT OR THE UNIVERSITY’S SERVICES HEREUNDER FOR AN AGGREGATE AMOUNT IN EXCESS OF FEES ACTUALLY PAID BY THE MEMBER TO THE UNIVERSITY FOR THE SERVICES PERFORMED IN ACCORDANCE WITH THIS AGREEMENT. NO TERMS OF THIS AGREEMENT SHALL BENEFIT OR CREATE ANY RIGHT OR CAUSE OF ACTION IN OR ON BEHALF OF ANY PERSON OR ENTITY OTHER THAN THE MEMBER AND THE UNIVERSITY. THE PROVISIONS OF THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, DAMAGE, CLAIM, LIABILITY, COST, EXPENSE, OR LOSS, WHETHER IN CONTRACT, STATUTE, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), OR OTHERWISE. THIS LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.

 

Legal to enter into Agreement. The Member hereby represents and warrants that the Member has all requisite authority to enter into and abide by the terms and conditions of this Agreement and no further authorization or approval is necessary.

 

Acceptance of Agreement. The Member hereby understands the Services the Hub provides to the Member, including but not limited to building access, use of co-working space, access to the Internet, and the other Services. The Member further agrees and warrants that the Member is not a tenant and the University is not a landlord and there is no tenancy relationship whatsoever as defined in any case law, legislation, rules, or regulation promulgated by the State of Illinois or otherwise. The Member hereby acknowledges that it has read and understood all of the terms and conditions contained in this Agreement and further agrees to be bound to the Agreement regarding its participation in and use of the Services.

Assignment. The Member shall not assign, transfer, or subcontract any of its rights or obligations under this Agreement without the prior written consent of the other party. Nor shall the Member provide any sublicense or offer to a third party use of the Hub space or the Services, unless such use is by a guest, as provided in Paragraph 4 of this Agreement. No assignment or delegation shall relieve the Member of any of its obligations hereunder.

 

Governing Law.  This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois without regard to conflicts-of-law principles that would require the application of any other law.
